1. About these terms
- These Terms of Service govern your use of the Scrub Valley platform, including our website, web application, and any related services.
- “We,” “us,” “our,” “the Company,” and “Scrub Valley” refer to Wadi Al Khobar, the registered legal name, operating under the commercial name Scrub Valley. The company is registered in the Kingdom of Saudi Arabia under commercial registration number 205123561, with its registered address at 4922, 4th, Althaqba, 8360, Al-Khobar, Kingdom of Saudi Arabia.
- “You” refers to any person or organisation using the platform.
- By creating an account or using the platform, you agree to these Terms and to our Privacy Policy.
- If you do not agree, do not use the platform.
3. Eligibility
- You must be at least 18 years old to create an account.
- Candidates must be qualified healthcare professionals, or students or graduates in a healthcare discipline.
- Employers must be a legally registered healthcare institution or an entity authorised to recruit on behalf of one.
- You must have the legal capacity to enter into a binding agreement.
- We may verify eligibility at any time and may refuse or terminate an account that does not meet these requirements.
4. Accounts
- You must provide accurate, current, and complete information when registering.
- You are responsible for keeping your login credentials confidential and for all activity under your account.
- You must notify us immediately if you believe your account has been accessed without your permission.
- One person may hold one candidate account. Duplicate accounts may be merged or removed.
- We may suspend or close an account that contains false information, fraudulent documents, or that is used in breach of these Terms.
5. Candidate services
- Registration, profile creation, job search, and job application are provided free of charge to candidates.
- We may recommend your profile to employers, and employers may contact you directly through the platform.
- We do not charge candidates any fee for employment, placement, or introduction to an employer. This does not prevent us from charging separate fees for other advertised services, where those services are permitted and clearly disclosed.
- You control your profile visibility through your account settings.
- You may close your account at any time.
5.1 Examination providers
- We are a platform connecting candidates and employers. We are not an employer, and we do not employ candidates.
- The Company does not guarantee that any Candidate will obtain employment, receive a job offer, or be accepted by any Employer. The final employment decision is made solely by the relevant Employer based on its requirements, procedures, business needs and applicable law.
- We do not guarantee any visa, work permit, residency, or immigration outcome.
- The Company does not issue or grant professional licences, classifications or registrations and does not guarantee that any such licence, classification or registration will be obtained. The issuance of professional licences, classifications and registrations remains the responsibility of the relevant competent regulatory or professional authority and is subject to its requirements and decisions.
- We cannot accelerate, influence, or bypass any governmental or regulatory process.
- The inclusion, recommendation, referral or submission of a Candidate to an Employer, or participation in any recruitment, interview or credential-verification process, does not constitute a guarantee by the Company that employment will be offered or completed.
6. DataFlow Services
- Where you request it, we facilitate the submission and management of your primary source verification application to the DataFlow Group.
- We act as a facilitator on your behalf. The DataFlow Group is the verifying body, and the verification outcome is theirs alone.
- Our role includes assisting with document preparation, submission, tracking, and communication.
6.1 What you must provide
- Complete, authentic, and legible documents.
- Accurate personal and professional information.
- Prompt responses to requests for additional or corrected documents.
6.2 What we cannot control
- Credential and professional verification results depend on the information, documents and source records available to the relevant verification provider or source institution. The Company does not guarantee any particular verification outcome.
- The time taken by the DataFlow Group, source institutions, or any authority to respond, including any delays, refusals or adverse outcomes outside the Company's reasonable control.
- Requests for additional documents or resubmission.
- Changes to DataFlow Group requirements, fees, or procedures.
- The validity period of any verification report issued.
6.3 Fees
- Our service fee for DataFlow Services is stated at the point of purchase, before payment.
- Fees payable to the DataFlow Group are separate and are INCLUDED IN our service fee.
- We may change our fees at any time. Changes do not affect a service already paid for.
7. Examination Services
- Where you request it, we facilitate the booking of professional licensing examinations, including Prometric examinations.
- We act as a facilitator. The examination provider sets the examination, the schedule, the content, and the result.
7.1 What we cannot control
- Availability of examination dates, venues, or seats.
- Examination content, difficulty, scoring, or results.
- The Company does not guarantee that a User will pass any examination, obtain any particular score or satisfy any professional requirement. Examinations remain subject to the requirements, procedures, schedules and terms of the relevant examination provider or competent authority.
- Rescheduling, cancellation, or venue changes made by the examination provider.
- Eligibility criteria set by the examination provider or the relevant licensing authority.
7.2 Your responsibilities
- Attending on the correct date at the correct venue.
- Bringing all required identification and documentation.
- Complying with all examination provider rules.
- Notifying us promptly if you need to reschedule.
7.3 Fees
- Our service fee for Examination Services is stated before payment.
- Examination fees payable to the provider are separate and NOT INCLUDED in our service fee.
- Fees paid to an examination provider are subject to that provider's own refund and rescheduling policy, which we do not control.
8. Employer services
- Employer access is provided on a subscription basis. The subscription tier, price, term, and included features are set out in your order or subscription agreement.
- Subscriptions DO NOT RENEW AUTOMATICALLY.
- Employers may post vacancies, search candidate profiles, contact candidates, and manage applications, subject to the limits of their tier.
- Employer accounts are subject to approval. We may decline or revoke access. Each Employer remains independently responsible for its employment-related decisions and obligations, including interviews, employment offers, terms and conditions of employment, remuneration, working environment, termination of employment and any statutory obligations applicable to it as an employer.
8.1 Employer obligations
- Post only genuine vacancies for which you are authorised to recruit.
- Provide accurate information about the role, location, and institution.
- Use candidate data only to assess candidates for the vacancy for which they applied or were contacted. Candidate information may be shared with Employers or relevant parties where necessary to provide the requested Service or on an appropriate lawful basis. Each Employer remains independently responsible for its subsequent processing and use of the information it receives in accordance with the laws applicable to it.
- Do not share, sell, or transfer candidate data to any third party.
- Do not contact candidates for any purpose other than recruitment.
- Comply with all applicable labour, immigration, licensing, and data protection laws.
- Do not discriminate unlawfully in any recruitment decision.
8.2 Your responsibilities
- We do not guarantee that any vacancy will be filled.
- We do not guarantee the number, quality, or suitability of applicants.
- We verify candidate credentials only where DataFlow verification has been completed through the platform. Where no verification has been completed, we do not warrant the accuracy of any candidate's stated qualifications.
- We are not party to any employment contract between an employer and a candidate.
9. Payment, refunds, and cancellation
- Payment is due at the time stated at the point of purchase.
- We accept the payment methods shown at checkout.
- The fees and prices displayed at the time of purchase apply to the relevant Service unless expressly stated otherwise. Fees may vary depending on the type and scope of the Service, third-party requirements or applicable regulatory requirements. Applicable taxes and charges will be presented to the User before completion of payment and applied in accordance with applicable law.
9.1 Refunds
- Before work commences: a full refund of your service fee, less any third party fee already paid on your behalf.
- After submission to a Third Party Provider: our service fee is non-refundable, as the service has been performed. Third party fees are subject to that provider's policy.
- Where verification is rejected, or an examination is failed: our service fee is non-refundable. Our fee covers facilitation, not outcome.
- Where we fail to perform: a full/partial refund of your service fee.
- Employer subscriptions are non-refundable.
9.2 Cancellation
- You may cancel a request before we submit it to a Third Party Provider.
- After submission, cancellation is subject to the Third Party Provider's policy.
- Employers may cancel a subscription in accordance with clause 8.
10. Your rights
You must not:
- Provide false, forged, altered, or misleading documents or information.
- Impersonate another person, or create an account on behalf of someone else without authority.
- Use the Platform or Services for unlawful, fraudulent or misleading purposes.
- Attempt to access another user's account or data.
- Scrape, copy, harvest, or extract data from the platform by automated means.
- Interfere with the operation of the Platform, attempt to compromise its security, or attempt to circumvent its security controls.
- Use the platform to send unsolicited commercial messages.
- Misrepresent your relationship with Scrub Valley.
Submitting forged or altered documents may constitute a criminal offence and may be reported to the relevant authorities.
11. Content and intellectual property
- All intellectual property rights in and to the Platform, including its content, design, trademarks, software, databases and materials developed by the Company, excluding User-owned or third-party content, are owned by the Company or its licensors. Use of the Platform does not grant the User any ownership rights in such property.
- You may not copy, modify, distribute, or create derivative works from any part of the platform without our written permission.
- You retain ownership of the documents and information you upload.
- The User grants the Company a limited, non-exclusive licence to use the content submitted by the User to the extent necessary to provide the Services, operate the Platform, comply with legal obligations, verify information and perform the requested Services, including sharing it with Third Party Providers and, where you apply or consent, with employers. This licence does not transfer ownership of the User's content to the Company.
- This licence ends when you delete the content or close your account, except where we are required to retain it by law.
12. Third Party Providers
- The platform depends on Third Party Providers, including the DataFlow Group, examination providers, licensing authorities, and employers.
- We do not control their decisions, timelines, fees, requirements, or availability.
- Their terms and policies apply to their own services, in addition to these Terms.
- We are not liable for any act, omission, delay, or decision of any Third Party Provider.
13. Availability
- We aim to keep the platform available at all times but do not guarantee uninterrupted access.
- We may suspend access for maintenance, upgrades, or reasons beyond our control.
- The Company may modify, update or suspend certain Platform functions or Services from time to time for operational, technical, security or regulatory reasons, provided that this does not affect the User's mandatory legal rights or Services already contracted for except as permitted by applicable law. General information published on the Platform is for informational and service-related purposes only and may change from time to time. Unless expressly stated otherwise, information published on the Platform does not constitute a binding offer or guarantee of employment, licensing, verification outcome or examination result.
13.1 Force majeure
The Company shall not be liable for any delay or failure to perform caused directly or indirectly by circumstances beyond its reasonable control, including system or network failures, cyberattacks or security incidents that could not reasonably have been prevented, natural disasters, epidemics, governmental actions or decisions, failures or disruptions affecting service providers or regulatory or professional authorities, or similar circumstances, to the extent permitted by applicable law.
14. Limitation of liability
- The platform and services are provided on an "as is" basis.
- To the maximum extent permitted by law, we exclude all warranties not expressly stated in these Terms.
- We are not liable for indirect, consequential, or incidental loss, including loss of employment opportunity, loss of income, loss of profit, wasted expenditure, or travel costs.
- We are not liable for any outcome determined by a Third Party Provider.
- Where we are found liable, our total liability is limited to the total fees you paid to us in the THREE MONTHS preceding the event giving rise to the claim.
- Nothing in these Terms excludes liability that cannot be excluded by law, including liability for fraud.
15. Indemnity
To the extent permitted by applicable law, the User agrees to indemnify the Company against reasonable third-party claims, losses and costs directly arising from the User's material breach of these Terms, unlawful use of the Services, fraud, or knowing submission of forged or misleading information or documents.
16. Suspension and termination
- You may close your account at any time through your account settings or by contacting us.
- To the extent permitted by law, the Company may suspend, restrict access to a Service or terminate an account where it reasonably believes that the User has breached these Terms, provided inaccurate information, used the Platform fraudulently or unlawfully, created a risk to the security of the Platform, Users or Personal Data, or where such action is required by law or by a competent authority.
- We will give notice where reasonably possible, except where immediate action is necessary.
- On termination, clauses on intellectual property, liability, indemnity, confidentiality, and governing law survive.
17. Changes to these Terms
- We may update these Terms from time to time.
- We will notify registered users of material changes by email or through the platform, at least 14 days before they take effect.
- The "Last updated" date at the top shows when these Terms were last changed.
- Continued use after the effective date constitutes acceptance.
- If you do not accept the updated Terms, you may close your account.
18. Governing law and disputes
- These Terms are governed by the laws of the Kingdom of Saudi Arabia. If these Terms are translated into Arabic, the Arabic version shall be the governing version in the Kingdom of Saudi Arabia, to the extent permitted by applicable law.
- Any dispute will first be addressed amicably between the parties.
- Failing resolution, the competent courts of the Kingdom of Saudi Arabia have jurisdiction.
19. General
- If any provision is found unenforceable, the remainder continues in effect.
- Our failure to enforce any provision is not a waiver of it.
- You may not transfer your rights under these Terms. We may transfer ours on notice.
- These Terms, together with the Privacy Policy and any subscription agreement, form the entire agreement between us.
20. Complaints
If you have a complaint about the Platform or Services, please contact us first at info@scrubvalley.com so we can review and try to resolve it internally. We may ask you to provide your account details, the relevant service, and a description of the issue. This does not affect any right you may have to raise a complaint to a competent authority under applicable law.
